These General Terms & Conditions ("Terms") govern your purchase and use of any product, program, course, coaching engagement, community membership, or other service offered by Emma Leck LLC, a Wyoming limited liability company ("Emma Leck LLC," "The Closer Collective," "we," "us," or "our"), through https://theclosercollective.co/ and its associated pages, checkout providers, and course or community platforms (collectively, the "Site" and "Services").
By purchasing, registering for, accessing, or using any of our Services, you agree to be bound by these Terms, together with our Privacy Policy and any separate program agreement you sign at the time of enrollment. If you do not agree to these Terms, please do not purchase or use our Services.
Where you have signed a separate written agreement for a specific offering (for example, a 1:1 coaching agreement), that agreement governs that specific purchase. These Terms apply to all purchases and fill any gaps not addressed by a separate agreement.
The Site and Services are intended for individuals who are at least 18 years of age and able to enter into a legally binding contract. By accessing or using the Site, or purchasing any Service, you affirm that you meet this requirement, that the information you provide us (including at checkout) is truthful, current, and accurate, and that you are not impersonating another person. You have read this Agreement and understand and agree to its terms.
The Closer Collective offers a range of paid offerings, which may include:
Product descriptions, inclusions, and pricing are set out on the applicable Site page at the time of purchase. We may modify, add, or discontinue offerings at any time without notice.
You agree not to use the Site, our Services, or any community space in an unlawful manner or in any manner harmful to Emma Leck LLC, its reputation, or its clients. Without limiting the foregoing, you agree not to engage in:
Violation of this Section may result in immediate suspension or termination of your access, without refund, in addition to any other remedies available to us.
Placing an order and submitting payment does not, by itself, guarantee acceptance of your order. We may decline, cancel, or limit any order at our discretion, including where required information is missing or inaccurate, or where we reasonably suspect fraud or misuse. If we are unable to fulfil an order you have paid for, we will notify you and issue a refund for that specific order only. We reserve the right to limit sales of the Services to any person or geographic region at our discretion.
All prices are stated on the applicable checkout or product page at the time of purchase and, unless stated otherwise, are quoted in United States dollars (USD). Prices are subject to change without notice, but a change will not affect an order you have already completed. You are responsible for any taxes, duties, bank fees, or currency conversion charges applied by your payment provider.
6.1 Payment in full or by payment plan. At checkout, where a payment plan is offered, you may choose to either pay the total purchase price in full at the time of purchase, or pay in scheduled installments under the payment plan presented at checkout. If you select a payment plan, the first installment is charged at the time of purchase and each remaining installment is charged automatically to your payment method on file according to the schedule presented at checkout, until the total purchase price is paid. Time is of the essence with respect to all payments.
6.2 A payment plan is not a subscription. A payment plan for a one-time purchase (such as a course or program) is a financing arrangement for a single purchase. It is not a subscription and does not renew unless an extension request is requested by the customer for a fixed-duration time sensitive program (e.g. 8 week program). Each installment is a partial payment toward one fixed total purchase price that you have already agreed to pay in full. Selecting a payment plan does not give you the right to cancel, pause, downgrade, or reduce your remaining installments.
6.3 Recurring memberships and subscriptions. Where a Service is offered on an ongoing subscription or membership basis (for example, community access billed monthly), the following applies instead of Section 4.2: your payment method will be charged automatically each billing period (e.g. monthly) until you cancel. Your subscription continues indefinitely and automatically renews each billing period unless and until you cancel. You may cancel at any time by emailing emma@theclosercollective.co or using the cancellation option in your account/community platform. Cancellation stops future billing but takes effect at the end of the current paid period — we do not provide partial refunds for the remainder of a period already paid for.
6.4 Obligation to pay in full (payment plans). When you select a payment plan for a one-time purchase, you are committing to pay the entire purchase price. You remain responsible for paying the full amount owed regardless of whether you use, access, attend, complete, or benefit from the product, program, or service, and regardless of any change in circumstances, dissatisfaction, or any other claim to cancel or discontinue payment. You agree that you will not dispute payments owed, cancel or remove the payment method on file, or otherwise stop, delay, or reduce the installment payments due under your selected payment plan.
6.5 Failed or missed payments. You agree to keep a valid payment method on file and to ensure sufficient funds are available for each scheduled charge. If a scheduled payment fails or is declined, we may re-attempt the charge, and continued non-payment may result in suspension or revocation of your access to the product, program, or community until your account is brought current.
6.6 Chargebacks. Initiating a chargeback or payment dispute for a purchase made under these Terms, in place of contacting us to resolve a concern, is a breach of this agreement. In the event of an invalid chargeback, you remain liable for the full amount owed plus any associated fees and recovery costs.
6.7 Collections and remedies. If your account remains in default after reasonable notice, we reserve the right to refer the outstanding balance to a third-party collections agency and to recover the amount owed, together with any collection costs and reasonable attorneys' fees. We further reserve the right to revoke your access to any purchased materials and to decline future purchases while a balance remains outstanding.
We are committed to providing high-quality coaching and resources. Please review product descriptions carefully, and contact our support team with any questions, before you purchase.
7.1 All sales are final. All sales of our products, programs, coaching, and community memberships, including but not limited to digital guides, courses, group programs, and community access, are final and non-refundable. Once your order is completed and access is made available to you, we cannot offer a refund or exchange. Choosing a payment plan does not create a right to a refund of installments already paid; see Section 4.
7.2 Coaching engagements. Refund and cancellation terms for 1:1 or group coaching are governed by the specific coaching agreement you sign at the time of enrollment. Absent a separate agreement, coaching fees are non-refundable once the engagement has commenced.
7.3 How to request support. Any billing questions or concerns should be sent to emma@theclosercollective.co. Contacting us first, before initiating a dispute with your bank or payment provider, gives us the chance to resolve the issue directly.
Subject to your continued compliance with these Terms, when you purchase a product, program, or community membership, we grant you a personal, revocable, limited, non-exclusive, royalty-free, non-sublicensable, non-transferable license to access and use that content for your own personal use only. You acknowledge and agree that you do not acquire any ownership rights in any content protected by intellectual property laws by virtue of this license.
You may not: (1) modify, publish, transmit, participate in the transfer or sale of, or create derivative works from any content; (2) copy, redistribute, publish, display, or commercially exploit any content without our express written permission; or (3) share your access, login, or purchased materials with any other person. Any violation of this Section may result in immediate revocation of your license without refund.
All content offered through the Site and Services — including names, materials, designs, text, graphics, taglines, logos, photographic images, personal stories, video and audio clips, downloads, frameworks, teachings, and delivery methods — is the intellectual property of Emma Leck LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. "The Closer Collective" and any associated logo are proprietary marks of Emma Leck LLC, and their use without our written permission is strictly prohibited.
You are not conveyed any ownership right or license except the limited license described in Section 8. You may not use our frameworks, content, or materials in your own coaching, training, or competing services, nor register any domain name, social handle, or business name confusingly similar to ours.
We're glad to hear from clients and welcome your comments regarding our Services. We may use testimonials, reviews, and success stories you submit, in whole or in part, together with your name and general location, in any form of marketing or promotional activity relating to the Services, in printed and online media, at our discretion. Testimonials reflect the individual, unique experience of the person submitting them and are not a promise or guarantee of similar results for any other client — see Section 11.
Any testimonial, review, photograph, or other content you provide to us will be treated as non-confidential and non-proprietary. By submitting it, you grant Emma Leck LLC a royalty-free, worldwide, perpetual, non-exclusive, and irrevocable license to use, reproduce, and display it in connection with our Services. We may correct grammatical or typing errors and may shorten submissions prior to use, and we are under no obligation to use any submission.
All content provided by The Closer Collective is for informational and educational purposes only. It is not financial, legal, tax, employment, or other professional advice, and it is not a substitute for advice from a qualified professional. You should consult an appropriate professional before making financial or career decisions.
We do not guarantee employment, income, client results, or any other specific outcome. Results depend on factors outside our control, including your effort, prior experience, market conditions, and the decisions of third-party offer owners or employers. Any testimonials, case studies, or examples referenced in our marketing represent individual results and are not a promise of similar results for you. You are solely responsible for your own decisions and for the results of your participation.
You agree to engage with the Services, any community space, and other members respectfully. We reserve the right to remove any client from the community or program, without refund, for conduct we reasonably consider to be abusive, harassing, disruptive, or in breach of these Terms.
Where the Services involve outreach to, interviews with, or engagement by third-party offer owners, employers, or clients, we are not a party to and bear no responsibility for the terms, conduct, payment practices, or decisions of those third parties. Any working relationship you enter into with a third party is solely between you and that third party.
Except where prohibited by law, the Site and all Services and content are provided on an "as is," "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of title, merchantability, or fitness for a particular purpose. We do not represent or warrant that: the Site or Services will be secure, timely, uninterrupted, or error-free; the Services will meet your requirements or expectations; any stored data will be accurate or reliable; or errors or defects will be corrected. All such warranties, whether express, implied, statutory, or otherwise, are disclaimed to the maximum extent permitted by applicable law.
To the fullest extent permitted by applicable law, Emma Leck LLC and its members, managers, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages of any kind, or for any loss of profits, income, data, or goodwill, arising out of or related to your purchase or use of, or inability to use, the Services, regardless of whether we have had notice of the possibility of such damages and regardless of the theory of liability (contract, tort, warranty, or otherwise).
Our total aggregate liability to you for any claim arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid us for the Services giving rise to the claim, or (b) five hundred US dollars (USD $500). Nothing in this Section limits or excludes liability for gross negligence, willful misconduct, or fraud, or any other liability that cannot be limited or excluded under Wyoming law.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Emma Leck LLC and its members, managers, officers, employees, contractors, licensors, affiliates, and agents from any claim, demand, loss, liability, expense, or cost (including reasonable attorneys' fees) arising out of, resulting from, or in any way connected with: (1) your use, misuse, or attempted use of the Site or Services; (2) information you submit or transmit through the Site; (3) your breach of these Terms or the representations and warranties you make under them; or (4) your violation of any law or the rights of any third party.
The Site or our content may contain links to third-party websites or tools. We assume no responsibility for the content, accuracy, or functionality of any site we do not control, and including a link does not imply our endorsement.
This Agreement takes effect when you first submit payment, register for an account, or otherwise access the Services, whichever is earliest. We may suspend or terminate your access to the Services, without notice, if we reasonably believe you have violated these Terms or applicable law. Sections addressing intellectual property, testimonials, disclaimers, limitation of liability, indemnification, dispute resolution, and any other provision that by its nature should survive, will survive termination of this Agreement or your account. You remain responsible for any outstanding payments owed to us upon termination.
No failure or delay by us in exercising any right, power, or remedy under these Terms will operate as a waiver of that right, nor will any single or partial exercise preclude any other or further exercise of it. A waiver is only effective if made in writing and signed by us.
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. This arbitration provision is governed by Wyoming's Uniform Arbitration Act, W.S. 1-36-101 et seq., and, because your purchase involves interstate commerce, also by the Federal Arbitration Act, 9 U.S.C. §§ 1-16. If you have a complaint or dispute, you agree to first contact us at emma@theclosercollective.co to attempt to resolve it informally before filing arbitration.
20.1 Binding arbitration. Except as provided in Section 20.2, all disputes arising under or relating to these Terms will be finally resolved by confidential binding arbitration seated in Sheridan County, Wyoming, under the Commercial Arbitration Rules of the American Arbitration Association, by a single arbitrator. All claims must be brought on an individual basis; class, collective, and representative proceedings are expressly waived, and the arbitrator has no authority to consolidate claims or vary this waiver. Judgment on the award may be entered in any court of competent jurisdiction.
20.2 Exclusive venue for certain claims. Notwithstanding Section 20.1, we may bring any action for non-payment or for injunctive or equitable relief (including to protect our intellectual property) in the state or federal courts located in Sheridan County, Wyoming. The parties irrevocably submit to the jurisdiction of those courts, waive any objection to venue, and consent to service of process by mail.
20.3 Attorneys' fees. In any action or arbitration arising under these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees and costs.
20.4 Jury waiver. The parties knowingly and voluntarily waive any right to trial by jury in any action arising under or relating to these Terms.
20.5 Time limit on claims. Any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the claim arises, or it is permanently barred.
We will not be responsible for any delay, damage, or failure caused by circumstances beyond our reasonable control, including acts of nature, internet or platform outages, or other events we could not reasonably have prevented.
We may assign our rights under these Terms at any time without notice to you. Your rights under these Terms may not be assigned without our express written consent.
When you communicate with us electronically, or click to accept, purchase, or submit information through the Site, you are agreeing electronically. You agree that such electronic communications, notices, and agreements satisfy any legal requirement that they be in writing and carry the same force and effect as a signed paper document.
We may update these Terms from time to time at our sole discretion. The most current version will always be posted on this page with the "Last updated" date above. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the updated Terms.
You further represent and warrant that: (1) you are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater; (2) you have the legal right and authority to enter into this Agreement; (3) you have read and understood these Terms; and (4) you will not resell, redistribute, or commercially exploit any product or service purchased through the Site without our express written permission.
If any provision of these Terms is found invalid or unenforceable by an arbitrator or court of competent jurisdiction, the remaining provisions will continue in full force and effect, and the invalid provision will be modified or severed to the extent necessary to make it enforceable.
These Terms, together with our Privacy Policy and any separate program or coaching agreement you sign, constitute the entire agreement between you and Emma Leck LLC regarding the Services, and supersede any prior or contemporaneous agreements, representations, or communications, whether oral or written. Any ambiguity in interpretation will not be construed against the drafting party.
